Terms & Conditions

These Terms & Conditions (“Terms”) govern all orders placed with and products supplied by Amonra Gourmet LLP (“Amonra”, “we” or “us”), an Indian limited liability partnership, to wholesale customers (“you”, “Customer” or “buyer”). By placing a bulk order or otherwise engaging in a commercial transaction with Amonra, you confirm that you have read, understood, and agree to be bound by these Terms in full. If you are ordering on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree with any portion of these Terms, please do not place an order. 

1. Definitions 

• “Products”: All Kunafa ingredients, Mediterranean sweet products, and related items manufactured, packaged, or distributed by Amonra for wholesale sale.
• “Order”: Your request for Products, placed via our official wholesale channels (online portal, email, or purchase order).
• “MOQ”: Minimum Order Quantity or minimum order value required for acceptance of wholesale orders.
• “Delivery Address”: The shipping location you provide when placing an Order.

2. Customer Information & Account 

1. Accurate Information

You must provide complete and accurate business information when opening an account or placing an Order, including your registered company name, GST or tax identification, billing and shipping addresses, contact person, phone number, and email. You agree to promptly update any changes. 

2. Authorization

You represent that you are legally authorized to purchase and use our Products for commercial purposes—whether in food preparation, resale, catering, or restaurant service—and to handle food ingredients under applicable local regulations.

3. Orders & Acceptance 

1. Placing Orders

Orders may be submitted via our online wholesale portal, by email to sales@amonra.example.com, or through your assigned sales representative. All Orders are subject to acceptance by Amonra. An Order is deemed accepted only upon issuance of an order confirmation or proforma invoice by Amonra. 

2. Minimum Order Quantity

Unless otherwise specified, every Order must meet our MOQ requirements, which vary by product. For example, Kunafa dough may have an MOQ of 20 kg, while other ingredients or gift-box assortments carry their own MOQs. Orders below MOQ may be declined or subject to a small-order surcharge. 

3. Order Changes & Cancellation

Once confirmed, any modification or cancellation request must be submitted in writing and is subject to our approval. If production or shipping has already commenced, changes may not be possible, and cancellation fees may apply to cover costs incurred. 

4. Pricing, Taxes & Payment Terms 

1. Pricing

All prices are quoted on an ex-warehouse basis, exclusive of taxes, duties, and shipping. We may offer volume-based tiered pricing or promotional discounts, as communicated in writing. Amonra reserves the right to adjust prices for new Orders due to changes in raw material costs, foreign exchange rates, or other unforeseen factors. 

2. Taxes & Duties

○ Domestic (India): Applicable GST will be added to your invoice. 

○ International: You are responsible for any import duties, customs fees, or local taxes in your country of import. 

3. Payment Methods & Schedule

○ Prepayment Required: Unless granted specific credit terms in writing, full payment in INR is due at Order confirmation. 

○ Payment Gateway: Online payments are processed via our secure third-party gateway (PCI-DSS compliant). We do not store card details.

○ Offline Payments: Bank transfers (NEFT/RTGS) or other methods may be accepted for established customers. 

○ Invoices: You will receive an invoice upon receipt of payment. Discrepancies must be reported within 5 business days. 

4. Late & Non-Payment

For agreed credit terms, overdue amounts may attract interest at the maximum rate permitted by law. Failure to pay may result in order suspension or recovery actions at your expense. 

5. Delivery, Risk & Title 

1. Dispatch & Transit

○ Dispatch Time: Standard in-stock Orders ship within 3–5 business days after payment. Custom or large Orders may require longer lead times. 

○ Transit Estimates: Delivery timelines vary by destination and carrier; these are estimates and not guarantees. 

2. Transfer of Risk

Risk of loss passes to you upon handover to the carrier (FOB shipping point) or at Delivery (if otherwise agreed). You are responsible for inspecting shipments on arrival. 

3. Inspection & Claims

You must inspect Products immediately upon delivery. Any visible damage, wrong items, or shortages must be reported within 5 business days. Failure to notify within this period constitutes acceptance of the shipment. 

4. International Shipments

You are responsible for customs clearance, import permits, and any related delays or fees. Please ensure Products are permitted for import into your jurisdiction before ordering. 

6. Storage, Shelf Life & Handling 

1. Shelf Life

We guarantee a minimum remaining shelf life on dispatch (for example, at least 6 months if the product’s total shelf life exceeds 12 months). Expiry or best-before dates are marked on

packaging or documented on your invoice. 

2. Storage Requirements

Follow our recommended storage conditions (e.g., cool, dry place or refrigerated). Amonra is not liable for spoilage or quality loss due to improper storage after delivery. 

3. Usage Guidelines

Products are intended for professional culinary use. Adhere to standard food safety and handling practices. We do not warrant use for unconventional or non-culinary purposes. 

7. Returns, Refunds & Replacements 

1. No General Returns

Due to the perishable nature of our Products, all sales are final unless a defect or shipping error is confirmed. 

2. Defective or Damaged Goods

If Products arrive damaged or do not meet agreed quality specifications, notify us within 5 business days. Provide photographs or samples as requested. We will, at our discretion, either: 

○ Replace the affected items at no extra cost; or 

○ Issue a refund or credit for the defective portion. 

3. Authorized returns require our prior approval and may be subject to return shipping instructions.
4. Order Errors

If Amonra ships incorrect items or quantities, we will rectify the error promptly by sending correct Products or crediting your account. 

5. Limitations

No refunds or returns for spoilage due to customer’s improper storage, subjective taste preferences, or Orders placed below MOQ without surcharge. 

8. Warranties & Disclaimers 

1. Product Conformity

We warrant that Products will conform to specifications and applicable food-safety standards

(e.g., FSSAI in India). 

2. Disclaimer of Other Warranties

To the fullest extent permitted by law, Amonra disclaims all other warranties, express or implied—including merchantability, fitness for a particular purpose, and non-infringement—except as expressly provided herein. 

3. Jurisdictional Exceptions

If local laws prohibit exclusion of certain warranties, such provisions shall be deemed modified to the minimum extent required. 

9. Limitation of Liability 

1. Direct Damages Only

Amonra’s maximum liability for any claim related to Products or these Terms is limited to the purchase price paid for the specific items giving rise to the claim. 

2. No Consequential Damages

We are not liable for indirect, incidental, or consequential losses (e.g., lost profits, business interruption, reputational harm). 

3. Storage & Misuse

We disclaim liability for damages resulting from improper storage, handling, or use by you or your end-customers after delivery. 

4. Third-Party Actions

Amonra is not responsible for liabilities caused by carriers, payment gateways, or other third parties beyond our control. 

10. Indemnification 

You agree to defend, indemnify, and hold harmless Amonra and its partners, officers, and employees against any third-party claims, damages, or expenses (including legal fees) arising from: 

• Misuse or alteration of Products;
• Misrepresentation of Products to end-customers;
• Violation of these Terms or applicable laws in connection with your use or resale of Products.

11. Intellectual Property 

All trademarks, trade names, product names, recipes, and proprietary materials of Amonra remain our exclusive property. Your purchase does not convey any license to use our trademarks, logos, or copyrighted content—except to accurately identify the Products in your marketing or menus. Any other use requires prior written permission. 

12. Confidentiality 

All non-public information exchanged between you and Amonra (including pricing, formulations, and business processes) is confidential. Neither party shall disclose such information without the other’s written consent, except as required by law. 

13. Governing Law & Dispute Resolution 

1. Governing Law

These Terms are governed by the laws of India, without regard to its conflict-of-law provisions. 

2. Jurisdiction

Any disputes arising hereunder shall be subject to the exclusive jurisdiction of the courts in Chennai, Tamil Nadu, India. 

3. Negotiation & ADR

Before initiating litigation, both parties agree to good-faith negotiations. If unresolved, parties may pursue mediation or arbitration upon mutual written agreement. 

4. Injunctive Relief

Either party may seek equitable relief (e.g., interim injunction) in any competent court to protect intellectual property or confidential information. 

14. Changes to These Terms

Amonra may amend these Terms at any time by posting a revised version on our website or by providing written notice. The updated Terms become effective on the “Last Updated” date. You are responsible for reviewing Terms periodically; continued business constitutes acceptance of changes. For any existing Orders or contracts, the Terms in effect at the time of Order confirmation shall apply unless otherwise agreed.
